Client: I signed a 36 month contract in 2014, It’s now 2017 and my trash hauler literally laughed at me and said they won’t let me out of the contract unless I pay liquidated damages. If I wasn’t willing to pay these damages immediately,they said there was nothing to for us to talk about and hung up on me! Who do they think they are? 

The Trash Consultant:  I understand your frustration. No other vendor of yours would dream to speak to you the way they just did. Why is that? They treat you however they want because they know they have you in a one sided contract and chances are, you’re not going anywhere anytime soon. Take a look at the Google reviews for your trash company…I bet you are not the only one they treat poorly. 

 Understandably, my client believed that since they signed a 36 month trash contract on Nov. 30th 2014 that the contract would expire on Nov. 30th 2017.  Unfortunately, that’s not the case. 

 Let’s look at the pertinent terms from their contract.

Section 2: Term

The initial term of this agreement is thirty- six (36) months from effective date set forth. This agreement shall automatically renew thereafter for additional 36 month terms unless either party gives the other party written notice (See section 10) of at least 90 days but not more than 180 days prior to the termination of the then -existing term.

Section 10: Miscellaneous

(E) all written notification required by this agreement shall be by certified mail with return Receipt requested

The client actually signed an auto-renew contract.  The initial term of 36 months will automatically be followed by another 36 month term unless notification is executed properly as specified in section 10 and section 2. Once they realized they actually had a 72 month contract, they asked if I could still help? Yes. I can.
